These terms are the agreement between you and us for using Threadspore. We have tried to keep them plain and fair. Using Threadspore means you accept them, so it is worth a read.
Plainly put: Threadspore is a calm home for your volunteer group. Use it for good, treat people well, and keep ownership of your own content. We will run it honestly and tell you before anything important changes.
Who we are
Threadspore is operated by Vesper Technologies, LLC, an Oregon limited liability company. In these terms, "we," "us," and "Threadspore" mean Vesper Technologies, LLC, and "you" means the person or organization using Threadspore.
Who can use Threadspore
You may use Threadspore if you can form a binding agreement with us and you use it in line with these terms and the law. If you use Threadspore on behalf of an organization, you confirm you are allowed to accept these terms for that organization.
Your account and sign-in
Threadspore uses one-time sign-in links sent to your email instead of passwords. You are responsible for keeping access to your email account secure, since anyone with your inbox can request a link. Let us know promptly if you believe someone has gained access to your account.
Organizations and roles
Threadspore is organized around volunteer organizations. If you create or administer an organization, you are responsible for who you invite, the roles you grant, the content posted in your portal, and using the service in keeping with your own rules and applicable law. Admins can see and manage the content and members within their organization. If you were invited to a portal, the organization that invited you sets its own expectations for how you take part.
Acceptable use
Threadspore exists to help people do good work together. You agree not to use it to:
- Break the law or help someone else break it.
- Harass, threaten, or harm others, or post content that is unlawful or abusive.
- Upload malware, attempt to breach or overload the service, or probe it for vulnerabilities without our permission.
- Access data that is not yours, or misuse another person's account.
- Resell or rebrand Threadspore as your own product without our agreement.
We may suspend or remove access, or remove content, that violates these terms or puts people at risk. When we can, we will explain why.
Your content stays yours
You keep ownership of the content you and your organization put into Threadspore: your messages, to-dos, files, events, and settings. You give us only the permission we need to run the service for you, which is to store, display, and transmit your content to the people you share it with, and to make backups. We do not claim ownership of your content, and we do not use it for advertising or to train unrelated products. This permission ends when you delete the content or close your account, except for copies retained briefly in routine backups.
Our promises about your data
How we handle your information is described in our Privacy Policy, which is part of these terms. In short, we do not sell your data, show you ads, or mine your content. We intend to keep it that way.
Private beta
Threadspore is currently offered as a private beta. That means it is still growing: features may change, move, or occasionally break, and we may set reasonable limits while we learn. We appreciate your patience and your feedback, and we will do our best to give notice before major changes.
Fees
Threadspore is free to use during the private beta. If we ever introduce paid plans, we will tell you clearly in advance and never start charging you by surprise. Any organization already using Threadspore will be given fair notice and a choice before any fee applies to it.
Availability
We work to keep Threadspore running smoothly, but we cannot promise it will always be available or error-free. We may perform maintenance, update the service, or pause features when we need to.
Ending your use
You can stop using Threadspore at any time and ask us to close your account or your organization's portal. We may suspend or end access if you materially break these terms or if we must to protect the service or other people. If we end your access without cause, we will try to give you reasonable notice and a way to retrieve your content.
Service provided as is
Threadspore is provided "as is" and "as available," without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement, to the fullest extent permitted by law. You are responsible for how you use the service and for keeping your own copies of anything important to you.
Limitation of liability
To the fullest extent permitted by law, Vesper Technologies, LLC will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, data, or goodwill, arising from your use of Threadspore. Our total liability for any claim relating to the service will not exceed one hundred U.S. dollars (US $100), or the amount you paid us for the service in the twelve months before the claim, whichever is greater. Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.
Indemnification
If your use of Threadspore, your content, or your violation of these terms causes a claim against us by someone else, you agree to cover the reasonable costs and damages we incur from that claim, to the extent the law allows.
Changes to these terms
We may update these terms as Threadspore grows. If we make a meaningful change, we will update the effective date above and let you know within the app or by email. Continuing to use Threadspore after a change means you accept the updated terms.
Governing law
These terms are governed by the laws of the State of Oregon, without regard to its conflict-of-laws rules. Any dispute that is not resolved informally will be handled in the state or federal courts located in Oregon, and you and we agree to that venue, to the extent permitted by law.
